Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") are a legal agreement between you ("Customer," "you," or "your") and CoreBack Ledger, Inc. ("CoreBack," "we," or "us"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

CoreBack Ledger is a browser-based, privacy-first returns ledger for auto repair shops. The Service helps users track cores and warranty RMAs, generate QR bag labels, manage due dates, reconcile credit memos, and export structured data.

3. Account Registration

You agree to provide accurate account information, keep your credentials secure, and promptly update your information when it changes. You must be at least 18 and authorized to act for your business to create or administer an account.

4. Subscription, Billing, and Refunds

4.1 Plans and Pricing

Current plans and pricing are described on our Pricing page. We may update pricing with at least 30 days' notice before a renewal is charged at a new rate.

4.2 Billing

Paid subscriptions renew automatically on a monthly or annual basis unless canceled before the next renewal date. Billing is handled by Stripe or another designated payment processor.

4.3 30-Day Money-Back Guarantee

The 30-day money-back guarantee applies only to a new customer's first paid CoreBack subscription purchase. To request a refund, email hello@hourlyroi.com from the account email within 30 calendar days of the initial paid charge and include your shop name plus the reason for the request.

If the request qualifies, we will confirm receipt and begin processing the refund within 5 business days. Refund timing after that depends on your payment method and payment provider. The guarantee does not extend to renewals, custom onboarding work, or separately contracted services unless we explicitly agree otherwise in writing.

4.4 Cancellation

You may cancel at any time. Cancellation stops future renewals and takes effect at the end of the current billing period unless a separate written agreement says otherwise.

5. Service Levels and Availability

Unless we enter into a separate written service-level agreement with you, CoreBack Ledger is provided on an "as available" basis and no specific uptime percentage is guaranteed under these Terms. Planned maintenance, third-party outages, force majeure events, internet access issues, and customer-side configuration issues are outside our control.

6. Marketing Materials, Examples, and Estimates

Case studies, testimonials, ROI figures, savings examples, timing examples, and demo estimates may describe pilot results, illustrative examples, anonymized composites, or directional models unless we expressly state otherwise. They are provided to explain the product and do not guarantee that your business will achieve the same outcomes.

7. Acceptable Use

• Do not use the Service unlawfully or in violation of these Terms.
• Do not interfere with the security, stability, or integrity of the Service.
• Do not attempt to reverse engineer, scrape, or access the Service through unauthorized automated means.
• Do not share account credentials with unauthorized parties.

8. Intellectual Property

The Service, including its software, branding, and materials, is owned by CoreBack Ledger, Inc. These Terms grant you a limited, non-exclusive right to use the Service during your subscription. Your shop and ledger data remain yours.

9. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. Invoice OCR is designed to run locally in the browser, and the product stores structured ledger data rather than raw OCR source files unless explicitly described otherwise.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, TO THE MAXIMUM EXTENT PERMITTED BY LAW. WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

CoreBack helps organize and document return workflows, but vendor rules, return windows, credit approvals, and payment timing remain outside our control. We do not guarantee that any specific core or warranty credit will be recovered.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COREBACK LEDGER, INC. WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL ARISING FROM OR RELATED TO THE SERVICE.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM AROSE.

12. Indemnification

You agree to indemnify and hold harmless CoreBack Ledger, Inc. and its officers, directors, employees, and agents from claims, damages, losses, and expenses arising from your misuse of the Service, your violation of these Terms, or your violation of law or third-party rights.

13. Termination

We may suspend or terminate access if we reasonably believe you violated these Terms, created security risk, or used the Service unlawfully. You may request a data export before account deletion where feasible and legally permitted.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Exclusive venue for disputes will be the state or federal courts located in Delaware, unless applicable law requires otherwise.

15. Changes to Terms

We may update these Terms from time to time. When changes are material, we will update the "Last Updated" date and provide additional notice where appropriate.
